1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the S-TIER.AI website and progressive web application (collectively, the "Service"), operated by Juniper Labs LLC, doing business as S-TIER.AI ("we," "us," or "our"). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein.

If you do not agree to these Terms, do not create an account or use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By creating an account you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are between 16 and 18 years old (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Account Registration

• You may register using an email address and password or via Google OAuth.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You agree to provide accurate and complete information during registration and to keep it current.
• You must notify us immediately at support@s-tier.ai if you suspect unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Description of the Service

S-TIER.AI is a fitness training-management platform that allows users to:

• Import and parse training programs using AI-powered text and file analysis.
• Browse an exercise library with muscle-group mappings and equipment requirements.
• Receive intelligent exercise substitutions based on available equipment and movement patterns.
• Log workouts, track progress, and view personal records.
• Manage gym locations and equipment profiles.
• (Coach tier) Create and assign programs for clients.

5. Health and Fitness Disclaimer

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

• The Service provides tools for organizing and tracking training programs. It does not provide medical, physiological, or nutritional advice.
• You should consult a qualified healthcare professional before beginning any exercise program, especially if you have pre-existing health conditions, injuries, or are pregnant.
• Exercise carries inherent risks of injury. You assume full responsibility for any risks, injuries, or damages arising from your use of the Service and any training programs created, imported, or modified through it.
• AI-generated exercise substitutions are algorithmic suggestions based on movement patterns and muscle groups. They are not personalized medical or physiotherapy recommendations. Always use your own judgment and consult a professional where appropriate.
• We make no guarantees regarding fitness outcomes, physical performance, or injury prevention.

6. Subscriptions and Billing

6.1 Plans and Pricing

The Service offers the following paid subscription tiers:

• Athlete — $15/month (billed annually at $180/year) or $35/month (billed monthly). Includes 10 AI program parses per month.
• Coach — $69/month (billed annually at $828/year) or $99/month (billed monthly). Includes 200 AI program parses per month and client-management features.

Prices are listed in US Dollars. We reserve the right to change pricing at any time. Price changes will take effect at the start of your next billing cycle; we will notify you in advance of any changes.

6.2 Billing

• Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan selected).
• All payments are processed securely by Stripe. By subscribing, you authorize Stripe to charge your payment method on each billing cycle.
• You are responsible for any applicable taxes.

6.3 Plan Changes and Proration

You may upgrade or change your plan at any time. When you upgrade, the remaining value of your current plan is credited toward the new plan price. Credits are applied automatically during checkout.

6.4 Cancellation

• You may cancel your subscription at any time from your Account page.
• Cancellation takes effect at the end of your current billing period. You will retain access to subscription features until that date.
• After cancellation takes effect, your account remains active but access to subscription-only features (exercise library, program builder, AI parsing, workout logging) will be restricted.

6.5 Refunds

All subscription fees are non-refundable, except where required by applicable law. If you believe you have been charged in error, please contact us at support@s-tier.ai within 14 days of the charge.

7. AI-Powered Features

• The Service uses third-party AI models (Anthropic Claude) to parse training programs from text, images, and documents you provide.
• AI outputs are generated algorithmically and may contain errors, inaccuracies, or omissions. You are responsible for reviewing all AI-generated content before using it in your training.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated program structures or exercise substitutions.
• Content you submit for AI parsing is transmitted to our AI service provider for processing. Please see our Privacy Policy for details on data handling.
• AI usage is subject to monthly limits based on your subscription tier. Unused parses do not roll over between months.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated means (bots, scrapers, scripts) to access the Service without our written consent.
• Upload files containing malware, viruses, or malicious code.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Resell, sublicense, or redistribute the Service or any content derived from it without our written consent.
• Abuse AI parsing limits by creating multiple accounts.
• Submit content through the AI parser that is illegal, infringing, defamatory, or unrelated to fitness programming.

We reserve the right to suspend or terminate your account for violations of this section without prior notice.

9. Coaching Features

If you use the Coach tier:

• You may invite clients by email. Invitations are sent from our email system on your behalf.
• You represent that you have a legitimate coaching relationship (or prospective relationship) with the people you invite, and that you have their consent to provide their email address to us.
• Client relationships can be terminated by either party at any time.
• You are responsible for the programs you create and assign to clients. We are not liable for any injuries or damages arising from programs created or managed through the Service.

10. Intellectual Property

10.1 Our Content

The Service, including its design, text, graphics, exercise database, algorithms, and software, is owned by S-TIER.AI and protected by copyright, trademark, and other intellectual-property laws. You may not copy, modify, distribute, or create derivative works of our content without our written permission.

10.2 Your Content

You retain ownership of any content you create, upload, or input into the Service (including training programs, workout logs, and uploaded files). By using the Service, you grant us a limited, non-exclusive, royalty-free license to process, store, and display your content solely as necessary to provide the Service to you.

When you delete your account, we will delete your content in accordance with our Privacy Policy.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

Without limiting the foregoing, we do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• AI-generated content will be accurate, complete, or suitable for your needs.
• Exercise substitutions or program structures will be safe or appropriate for your physical condition.
• Any defects in the Service will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JUNIPER LABS LLC (D/B/A S-TIER.AI), ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to:

• Your use of or inability to use the Service.
• Any injuries, physical harm, or health issues resulting from exercise programs created, imported, modified, or tracked using the Service.
• Errors, inaccuracies, or omissions in AI-generated content or exercise substitutions.
• Unauthorized access to or alteration of your data.
• Any third-party conduct on the Service.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Juniper Labs LLC (d/b/a S-TIER.AI) and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any rights of a third party.
• Any content you submit, upload, or create through the Service.
• Any injury or harm resulting from training programs you create, use, or distribute through the Service.

14. Termination

• By you. You may cancel your subscription at any time and request deletion of your account by contacting support@s-tier.ai.
• By us. We may suspend or terminate your account at any time for violation of these Terms, or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately.
• Effect of termination. Upon account deletion, we will delete your data in accordance with our Privacy Policy. Sections 5, 11, 12, 13, 15, and 16 survive termination.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions.

Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. You agree to waive any right to a jury trial in connection with any dispute arising under these Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Juniper Labs LLC regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.

16.5 Modifications

We may modify these Terms at any time. Material changes will be communicated by updating the "Last updated" date at the top of this page and, where required by law, by email notification. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.
